How to contract with us<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

These Terms apply to any order form, statement of work, email acceptance, online checkout or proposal we and you approve in writing (each an \u201cOrder Form<\/b><\/span>\u201d). Together, the Order Form and these Terms form the \u201cAgreement<\/b><\/span>\u201d. If they conflict, the Order Form prevails.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

Unless an Order Form states otherwise, our services are provided on a rolling\u00a0month\u2011to\u2011month<\/b><\/span>\u00a0basis without a fixed minimum term (\u201cno contracts\u201d marketing), renewing automatically each month until cancelled in accordance with these Terms.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

The Agreement starts on the\u00a0Effective Date<\/b><\/span>\u00a0(the date the Order Form is signed or accepted in writing, or the date you first pay or instruct us to start) and continues until terminated under clause 19.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

1. Services & Deliverables<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

1.1\u00a0Scope.<\/b><\/span>\u00a0We will deliver the services and any deliverables (\u201cDeliverables<\/b><\/span>\u201d) described in the Order Form. Where appropriate we provide\u00a0recommendations<\/b><\/span>\u00a0for your team or third\u2011party developers to implement.<\/p>

1.2\u00a0Dependencies.<\/b><\/span>\u00a0Services depend on access and approvals you provide (see clause 5).<\/p>

1.3\u00a0Service changes.<\/b><\/span>\u00a0We may recommend variations to reflect best practice or platform changes. Material changes in scope, effort or cost require written approval (email suffices).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

2. Plans, Fees & Payment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

2.1\u00a0Fees.<\/b><\/span>\u00a0Fees are as set out in your Order Form or pricing plan and exclude VAT, sales tax or similar unless stated.<\/p>

2.2\u00a0Billing.<\/b><\/span>\u00a0Unless stated otherwise, fees are\u00a0monthly in advance<\/b><\/span>. Project or ad\u2011hoc fees may be invoiced on signature and\/or milestones.<\/p>

2.3\u00a0Payment terms.<\/b><\/span>\u00a0Invoices are due within\u00a014 days<\/b><\/span>\u00a0of the invoice date. We may charge interest on overdue sums at\u00a04% per annum above the Bank of England base rate<\/b><\/span>, plus reasonable collection costs.<\/p>

2.4\u00a0Price changes.<\/b><\/span>\u00a0We can update recurring fees on 30 days\u2019 notice; you may cancel before the change takes effect.<\/p>

2.5\u00a0Third\u2011party costs.<\/b><\/span>\u00a0Platform subscriptions, media placements, sponsored content, directory fees and similar third\u2011party costs are\u00a0extra<\/b><\/span>\u00a0unless stated in the Order Form.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

3. Performance Statements & No Guarantees<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

3.1\u00a0No specific outcomes.<\/b><\/span>\u00a0SEO and digital PR depend on factors outside our control, including search engine algorithms, indexing behaviour, manual actions, competitor activity, market shifts, and publisher\/editorial decisions.\u00a0We do not warrant or guarantee<\/b><\/span>\u00a0any particular ranking, traffic, conversions, revenue, media placement, link type\/anchor, or timeframe. Past results and case studies are illustrative only.<\/p>

3.2\u00a0Search engine & publisher guidelines.<\/b><\/span>\u00a0We follow ethical practice and will not knowingly engage in prohibited link schemes. Publication decisions and link attributes are always at the publisher\u2019s discretion and may change or be removed at any time.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

4. Digital PR & Link Acquisition (Specific Terms)<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

4.1\u00a0Editorial control.<\/b><\/span>\u00a0Editors and site owners retain absolute discretion over acceptance, copy changes, link placement, tags (follow\/nofollow), and publication timing.<\/p>

4.2\u00a0Permanence.<\/b><\/span>\u00a0We cannot guarantee any link or mention will be permanent, indexed or replicable; publishers may update, redirect, noindex or remove content without notice.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

5. Your Responsibilities<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

5.1\u00a0Access.<\/b><\/span>\u00a0You will provide timely\u00a0admin\u2011level access<\/b><\/span>\u00a0(or equivalent) to CMS\/hosting, DNS where needed, Google Search Console, Google Analytics\/GA4 (including Admin role where appropriate), and other relevant tools or data sources.\u00a0<\/span><\/p>

5.2\u00a0Approvals.<\/b><\/span>\u00a0You will review and approve content, PR materials and technical changes swiftly; delays extend timelines.<\/p>

5.3\u00a0Compliance & claims.<\/b><\/span>\u00a0You are responsible for the accuracy and legality of product\/service claims, industry\u2011specific approvals, and compliance with applicable laws, advertising standards and platform policies in all target jurisdictions.<\/p>

5.4\u00a0Implementation.<\/b><\/span>\u00a0Where Deliverables are recommendations, you are responsible for implementing them unless the Order Form includes implementation services.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

6. Third\u2011Party Platforms & Tools<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

6.1\u00a0No control.<\/b><\/span>\u00a0Search engines, analytics suites, CMSs, hosting providers and publishers may change features, APIs, data models or policies. We are not responsible for outages, data discrepancies, policy changes, removals or editorial decisions by third parties.<\/p>

6.2\u00a0Pass\u2011through terms.<\/b><\/span>\u00a0Your use of third\u2011party tools may be subject to their own terms, which you agree to accept.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

7. Reporting, Data & the SEO Dashboard<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

7.1\u00a0Sources & variance.<\/b><\/span>\u00a0Dashboards and reports may aggregate third\u2011party data (e.g. Google Analytics and Search Console) that can be sampled, delayed, revised or modelled; figures may not match other tools or final accounting records.<\/p>

7.2\u00a0Purpose.<\/b><\/span>\u00a0Reports are provided\u00a0\u201cas is\u201d<\/b><\/span>\u00a0for directional insight; you should not rely on them as definitive financial or operational records.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

8. Content Production<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

8.1\u00a0Purpose.<\/b><\/span>\u00a0Any content we create is for general information and marketing. It is\u00a0not<\/b><\/span>\u00a0legal, tax, medical or other regulated advice.<\/p>

8.2\u00a0IP & licences.<\/b><\/span>\u00a0Upon full payment, we assign to you the copyright in bespoke content we create for you, excluding our pre\u2011existing materials, know\u2011how and tools, and excluding third\u2011party content under separate licences.<\/p>

8.3\u00a0Clearances.<\/b><\/span>\u00a0You warrant you have rights to all materials you supply (including images, logos, data and claims) and will indemnify us against third\u2011party claims arising from those materials.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

9. Technical Changes<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

9.1\u00a0Risk.<\/b><\/span>\u00a0Technical SEO work can affect site behaviour. You should stage and back up before deployment.<\/p>

9.2\u00a0Reversion.<\/b><\/span>\u00a0If a change degrades performance, you should revert promptly; we can assist as a paid change request.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

10. Compliance & Acceptable Use<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

You will not ask us to publish or optimise unlawful, misleading, defamatory, hateful, pornographic or infringing content, or content that breaches platform or publisher rules. We may decline or suspend work that, in our reasonable opinion, poses legal, ethical or reputational risk.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

11. Confidentiality<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Both parties will keep non\u2011public information confidential and use it only to perform under this Agreement, except where disclosure is required by law or to professional advisers under confidentiality.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

12. Data Protection (Global)<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

12.1\u00a0Roles.<\/b><\/span>\u00a0Each party is an independent controller for its business contact data. Where we process personal data on your behalf (e.g. in analytics or reports), we do so as your\u00a0processor<\/b><\/span>.<\/p>

12.2\u00a0DPA.<\/b><\/span>\u00a0Our\u00a0Data Processing Addendum (DPA)<\/b><\/span>\u00a0(available on request) forms part of this Agreement and includes international transfer and sub\u2011processor provisions.<\/p>

12.3\u00a0Security.<\/b><\/span>\u00a0We maintain appropriate technical and organisational measures proportionate to the services. You remain responsible for access management to your systems and tools.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

13. Publicity<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Unless you opt out in writing, you grant us a non\u2011exclusive right to use your\u00a0name\/logo<\/b><\/span>\u00a0and non\u2011confidential campaign results for portfolio, case studies and reasonable PR. We will remove references upon reasonable request.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

14. Non\u2011Solicitation<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

During the term and for six (6) months after, neither party will actively solicit the other\u2019s staff who worked on the account (does not restrict general advertising).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

15. Warranties<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

5.1\u00a0Mutual.<\/b><\/span>\u00a0Each party warrants it has authority to enter into the Agreement.<\/p>

15.2\u00a0Disclaimer.<\/b><\/span>\u00a0Except as expressly stated, the services and deliverables are provided\u00a0\u201cas is\u201d<\/b><\/span>\u00a0and we disclaim all implied warranties to the maximum extent permitted by law.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

16. Indemnities<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

You will defend and indemnify us against third\u2011party claims, liabilities, costs (including reasonable legal fees) arising from: (a) materials or instructions you supply; (b) your breach of law or this Agreement; or (c) your misuse of the services.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

17. Limitation of Liability<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

17.1\u00a0Cap.<\/b><\/span>\u00a0Our total aggregate liability<\/b><\/span>\u00a0arising out of or in connection with the Agreement is\u00a0limited to the total fees you paid to us in the twelve (12) months<\/b><\/span>\u00a0immediately preceding the event giving rise to the claim.<\/p>

17.2\u00a0<\/span>Excluded losses.<\/b>\u00a0We will not be liable for\u00a0<\/span>loss of profits, revenue, business, goodwill, or data<\/b>, nor for\u00a0<\/span>indirect or consequential<\/b>\u00a0loss or special damages.<\/span><\/p>

17.3\u00a0Non\u2011excludable liabilities.<\/b><\/span>\u00a0Nothing excludes liability for\u00a0fraud<\/b><\/span>,\u00a0fraudulent misrepresentation<\/b><\/span>, or\u00a0death or personal injury<\/b><\/span>\u00a0caused by negligence, or any liability that cannot lawfully be excluded or limited.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

18. Suspension<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

We may suspend services on reasonable notice if invoices are overdue, if you breach clause 10, or where we reasonably believe continuing may breach law or third\u2011party policies.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

19. Termination<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

19.1\u00a0Convenience.<\/b><\/span>\u00a0Either party may terminate for convenience at any time by giving written notice; termination will take effect at the end of the current paid month (for monthly plans) or as stated in the Order Form. This preserves your \u201cno long\u2011term contract\u201d position.\u00a0<\/span><\/p>

19.2\u00a0Breach.<\/b><\/span>\u00a0Either party may terminate with immediate effect if the other materially breaches the Agreement and does not remedy within 14 days of written notice.<\/p>

19.3\u00a0Insolvency.<\/b><\/span>\u00a0Either party may terminate if the other becomes insolvent or ceases business.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

20. Consequences of Termination<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

20.1\u00a0Fees.<\/b><\/span>\u00a0You must pay for services delivered up to the termination date. Pre\u2011paid fees for future months are refunded only if we terminate for convenience.<\/p>

20.2\u00a0Access.<\/b><\/span>\u00a0On request, each party will return or delete the other\u2019s confidential information, save for legal backups.<\/p>

20.3\u00a0Survival.<\/b><\/span>\u00a0Clauses 3, 6\u20138, 11\u201317, 20, 22\u201324 survive termination.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

21. Force Majeure<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Neither party is liable for delay or failure caused by events beyond reasonable control (including outages of major platforms), provided the affected party uses reasonable endeavours to mitigate.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

22. International Use & Laws<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Formal notices must be sent to the contacts set out in the Order Form, with a copy to our registered office. Email notices are valid if sent to the addresses specified in the Order Form and acknowledged.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

23. Notices<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

You are responsible for ensuring your use of our services complies with laws that apply to your locations, sectors and target markets. Where mandatory local laws grant you non\u2011waivable rights, those rights are not affected.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

24. General<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

24.1\u00a0Assignment.<\/b><\/span>\u00a0You may not assign or transfer the Agreement without our written consent (not to be unreasonably withheld). We may assign to an affiliate or in connection with a reorganisation or sale.<\/p>

24.2\u00a0Subcontracting.<\/b><\/span>\u00a0We may use vetted subcontractors; we remain responsible for performance.<\/p>

24.3\u00a0Entire agreement.<\/b><\/span>\u00a0The Agreement is the entire agreement and supersedes prior discussions.<\/p>

24.4\u00a0Variations.<\/b><\/span>\u00a0Changes must be in writing and signed (email acceptance suffices).<\/p>

24.5\u00a0Severance.<\/b><\/span>\u00a0If any clause is unenforceable, the remainder remains in force.<\/p>

24.6\u00a0No waiver.<\/b><\/span>\u00a0A failure to enforce is not a waiver.<\/p>

24.7\u00a0<\/span>Third\u2011party rights.<\/b>\u00a0No one other than the parties has rights under the\u00a0<\/span>Contracts (Rights of Third Parties) Act 1999<\/b>.<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

25. Governing Law & Jurisdiction<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

The governing law and courts will be those stated in the Order Form;\u00a0if none is stated, the law of England & Wales applies and the courts of England & Wales have exclusive jurisdiction<\/b><\/span>, subject to either party\u2019s right to seek interim injunctive relief in any competent court.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
